Employment Agreement Format India: Clauses, DPDP Compliance and Sample

An employment agreement format in India must cover 16 essential clauses, from compensation and IP ownership to DPDP-compliant data protection. Post-employment non-competes are void under Section 27. This guide covers what works instead, with a downloadable template.

Employment agreement format India with 16 essential clauses and DPDP compliance

An employment agreement in India is a contract of service governed by the Indian Contract Act, 1872, alongside a web of central and State labour legislation that qualifies, supplements and in some respects overrides what the parties agree. It defines compensation, allocates IP ownership, imposes confidentiality obligations, and governs how the relationship ends. Post-employment non-compete clauses are void under Section 27 of the Act; confidentiality, non-solicitation and IP assignment survive and do the real work. It defines the terms of employment, sets the compensation structure, allocates IP ownership, imposes confidentiality obligations, and governs how the relationship ends. Getting the clauses right protects both parties. Getting them wrong, particularly on post-employment restrictions and termination, produces the disputes most employment lawyers spend their time on.

Key points

  • An offer letter accepted by the employee is a binding contract. A separate employment agreement adds detail but does not displace a clear offer letter.
  • Post-employment non-compete clauses are void under Section 27 of the Indian Contract Act. Confidentiality, non-solicitation and IP assignment survive and do the real work.
  • The DPDP Act now requires specific clauses governing employee data. Contracts drafted before November 2025 need reviewing.
  • Statutory notice periods cannot be contracted out of under the Industrial Employment (Standing Orders) Act and State shops and establishments legislation.
  • IP created in the course of employment vests in the employer without express assignment, but the clause should still be included to cover edge cases and post-employment creation.

This guide covers the offer letter distinction, fixed term versus at-will employment, the 16 clauses the agreement needs, post-employment protections, the DPDP implications, and a sample agreement.

If you need a template you can adapt, the clause set and a sample are below, along with a downloadable Word and PDF version.

Offer Letter vs Employment Agreement: What Is the Difference?

This distinction matters when both documents exist and they say different things.

Binding?Yes, once acceptedYes
Level of detailRole, compensation, start date, conditionsAll terms in full
What it coversThe headline dealThe full working relationship
Which prevails on conflictUsually superseded by the agreementUsually expressed to be the entire agreement
Statutory forceCan constitute a contractCan constitute a contract

An offer letter that is accepted creates a contract on its terms. Where a separate employment agreement follows, it should contain an entire agreement clause stating that it supersedes any prior communications. Without that clause, obligations in the offer letter that are not repeated in the agreement may remain in force.

Where the two are inconsistent and there is no supersession clause, courts generally give effect to the later document on the more specific terms, but this is litigated rather than settled.

Fixed Term vs Open-Ended Employment in India

The choice between these has significant statutory consequences, particularly on notice and termination.

Fixed term employment

The contract runs for a defined period and ends automatically at the expiry of the term, without notice, provided the contract says so clearly. The Industrial Relations Code, 2020 introduced a national framework for fixed term employment, giving fixed term employees the same benefits as permanent employees on a pro-rata basis and granting gratuity entitlement proportionate to the term.

The trap is a fixed term contract that contains a termination clause allowing early termination on notice. If the notice clause is triggered, the fixed term character of the contract may be at risk, and the employee may argue they are entitled to pay for the balance of the term.

Open-ended (at-will) employment

There is no concept of pure at-will employment in India in the American sense. Notice periods, standing orders, and State shops and establishments legislation all qualify the right to terminate, even where the contract is silent or purports to allow termination at will.

The statutory position varies significantly by State and by the size and nature of the establishment. For most commercial employers, a notice period of one to three months depending on seniority, combined with an express payment in lieu provision, is both standard and defensible.

The 16 Clauses Every Employment Agreement in India Must Contain

Parties, role and commencement

Full names of the employer entity and the employee, the position title and reporting line, the primary place of work, and the start date. Where the role may change, say so rather than leaving it to dispute.

Probation

Duration, typically three to six months, and what happens at the end: automatic confirmation, a written confirmation letter, or a specific act required. State whether a shortened notice period applies during probation, since this is standard and reduces exposure on early exits.

Compensation

The cost to company, the break-up between fixed and variable, the payment schedule, and whether the variable component is guaranteed or discretionary. An employer who describes a bonus as a fixed part of the CTC and then exercises discretion to withhold it has created a breach of contract claim.

Benefits

Leave entitlement by type, medical insurance, provident fund, gratuity, and any other benefits. Where benefits are described by reference to company policy, state that the policy applies as amended from time to time, or each policy change is a variation of the contract.

Working hours and location

Standard hours, whether overtime is compensated and how, and any hybrid or remote working arrangement. Where location is a genuine commercial requirement, say so. Remote working arrangements that were informal during the post-pandemic period have become dispute-prone as employers seek to reinstate office attendance.

Duties and conduct

An obligation to devote the employee’s full time and attention to the employer, to comply with the employer’s policies, and to notify the employer of any conflict of interest. Where the role involves a regulatory requirement or a professional qualification, state it.

Exclusivity

That the employee will not, during employment, engage in any other employment or activity that conflicts with the employer’s interests. This operates during employment only and does not depend on Section 27, following Niranjan Shankar Golikari v The Century Spinning and Manufacturing Co Ltd (1967).

Intellectual property

All work created by the employee in the course of employment, using the employer’s resources or relating to the employer’s business, shall vest in the employer from the point of creation. The employee assigns all such rights and waives all moral rights. Include a disclosure obligation and an obligation to execute further documents.

The employment exception in copyright law already vests work product in the employer in most cases, but the clause should still appear for three reasons: it covers edge cases, it makes the position clear to the employee, and it avoids disputes about work done on personal devices outside office hours where the connection to the employment is arguable.

Confidentiality

Defined categories of confidential information, an obligation not to use or disclose during employment or afterwards, a return and deletion obligation on exit, and a survival period. This is the post-employment protection that actually holds up, unlike a non-compete. The drafting discipline is the same as for a standalone NDA.

Where the employee will handle personal data, a separate data protection clause is now also required under the DPDP Act, which is covered below.

Post-employment restrictions

Non-compete: void after employment ends under Section 27 of the Indian Contract Act. This point is dealt with plainly in the analysis of non-compete clauses in India, and placing an unenforceable clause in an employment agreement creates a false sense of security rather than protection.

Non-solicitation: enforceable where genuinely limited to clients the employee personally dealt with in a defined period, and where the clause says expressly that the employee may work for a competitor. A clause that prevents the employee approaching the employer’s entire market is a non-compete wearing a different label and will not survive.

Non-dealing: distinguishable from non-solicitation and sometimes separately drafted, covering situations where the former client approaches the employee rather than the other way around.

Termination

Notice period on each side, payment in lieu, grounds for summary dismissal without notice, and the consequences of termination including return of property, resignation from any directorship, and the surviving obligations. A termination clause that states a right without setting out the process is the most common defect in employment agreements. The rights and duties created by these obligations under general contract law apply to employment as they do to any service relationship.

Summary dismissal grounds must be listed specifically. A catch-all reference to gross misconduct without definition produces the argument it was meant to avoid.

Garden leave

During the notice period the employer may require the employee not to attend, to cease accessing systems and to return equipment, while continuing to receive full pay. This is the mechanism that keeps a departing employee away from clients and colleagues for a defined period without triggering the void agreements in contract law problem that post-employment non-competes create, since the employment subsists throughout.

Data protection

Where the employer processes employee personal data, the DPDP Act, 2023 requires notice of the specific data collected, the purpose, and the employee’s rights. Processing for employment purposes is a recognised legitimate use that does not require consent, but the notice obligation still applies.

The clause should also address what the employee may and may not do with personal data they encounter in the course of the role, which feeds directly into the obligations in the DPDP compliance framework.

Grievance and disciplinary procedure

A reference to the employer’s grievance and disciplinary policy, an obligation to follow it, and confirmation that the procedure does not constitute a term of the contract. The last point matters because an employer who does not follow its own procedure, if the procedure is a contractual term, has breached the contract.

Governing law, jurisdiction and dispute resolution

Indian law, the courts at the relevant city or an arbitration clause with a compliant appointment mechanism. Employment disputes in India also fall within the jurisdiction of labour courts and tribunals for workers covered by the relevant legislation, which this clause cannot contract out of.

Entire agreement, variation and severability

That the agreement supersedes all prior communications including the offer letter, that it may only be varied in writing, and that if any provision is unenforceable the rest continues. The last of these is essential given that post-employment non-competes are void: severability ensures the void clause does not take the enforceable confidentiality provisions with it. It belongs on every list of essential clauses every commercial contract must contain and on any contract review checklist.

What the DPDP Act Adds to Employment Agreements

Every employment agreement drafted before November 2025 should now be reviewed against the DPDP Act, 2023 and the Rules notified in November 2025.

Three specific additions are required:

  • A notice to the employee of the specific personal data the employer collects, the purpose, and how to exercise data principal rights.
  • A clause covering what the employee may do with personal data they access in the course of the role, including restrictions on taking data to a new employer.
  • An obligation to report any personal data breach the employee becomes aware of.

These are not optional, and they interact with the confidentiality clause. An employee who takes a customer database to a new employer has breached confidentiality, possibly the non-solicitation clause, and now also the DPDP Act. All three should appear in the agreement, since they operate on different legal bases and the remedies differ.

A skeleton to adapt. The probation, compensation and post-employment clauses are where the commercial negotiation actually happens.

Clause 10 contains the express statement that the employee is free to work for a competitor, which is what keeps the non-solicitation outside Section 27. Clause 15 contains the severability provision that protects the confidentiality and non-solicitation clauses even if any other clause is unenforceable.

Learning to Draft Employment Agreements

An employment agreement is drafted when the relationship is new and everyone is optimistic, and read when one party wants out. The clauses that matter, notice, summary dismissal grounds, garden leave and non-solicitation, are the ones that receive least attention at the commercial stage.

The post-employment landscape is where the discipline really shows. Understanding that a non-compete is void, and being able to explain to a client what it should have instead, is the gap between drafting and negotiating a contract and just completing a form. It rests on the basic principles of legal drafting applied to a document that will be read in adversarial conditions, and it builds on the foundation in contract drafting.

Employment Agreement FAQs

Is an employment agreement mandatory in India?

Not universally, but it is strongly advisable. Several pieces of legislation including the Shops and Establishments Acts require certain terms to be communicated in writing. The absence of a written agreement produces disputes about notice, compensation and post-employment obligations.

Can an employment agreement override labour legislation?

No. Statutory rights such as minimum notice under standing orders, gratuity, provident fund and maternity benefits cannot be contracted out of. Where the agreement provides less than the statutory minimum, the statute prevails.

Can an employer terminate an employee without notice?

Only on grounds that amount to summary dismissal under the contract and the applicable standing orders. The general principles on stamp duty apply to employment agreements as to any instrument, so verify the State position before execution. Summary dismissal without a contractual basis or a disciplinary procedure exposes the employer to wrongful dismissal claims.

Is a non-compete clause in an employment contract enforceable?

No. Section 27 of the Indian Contract Act voids post-employment restraints on trade. No reasonableness test applies. The non-solicitation, confidentiality and IP assignment clauses do the work instead.

What is the difference between an offer letter and an employment agreement?

An offer letter is a conditional offer that becomes binding on acceptance. An employment agreement sets out the full terms and typically supersedes the offer letter. Where both exist and conflict, the employment agreement usually prevails if it contains an entire agreement clause.

What is garden leave?

A period during the notice period when the employee is required not to attend work, while continuing to be paid. Because the employment subsists, the obligations of exclusivity continue, keeping the employee away from clients and competitors without creating a post-employment restraint.

How does the DPDP Act affect employment agreements?

It requires employers to give employees notice of what personal data is collected and why, and to include obligations on how employees may use personal data they access in the role. Contracts drafted before November 2025 need reviewing.

What happens to unvested equity on termination?

It depends on the vesting schedule and the good leaver and bad leaver provisions in the equity plan or shareholders agreement. These should be cross-referenced in the employment agreement rather than duplicated.
